Article I - NAME AND PURPOSE

Section 1. The name of this club shall be: Central Florida Miata Club.

Section 2. The purpose of the Central Florida Miata Club (the "Club") is to provide an opportunity for Miata owners to exchange ideas and information; to participate in group events involving Miatas; and to have fun and enjoy driving their Miatas.

Article II - MEMBERSHIP

Section 1. Membership in the Central Florida Miata Club shall be open to all individuals who own or have an interest in Miatas.
Section 2. A membership shall be interpreted to mean the persons of one household.
Section 3. Payment of Club dues is a requirement of the Central Florida Miata Club.
Section 4. Any behavior of a member that is judged unsuitable by a 60% vote of the membership in attendance may result in termination of memberhip. The meeting for a vote on termination of membership is to be announced in advance.

Article III - OFFICERS AND DIRECTORS

Section 1. All officers shall be Club members in good standing.

Section 2. Officers shall be elected by Club members in good standing to the following positions:

1. President: The President shall preside over Club meetings as deemed necessary; shall interface with other Miata Clubs; and shall communicate with the press and public as required.
2. Vice President/Events Coordinator: The Events Coordinator shall solicit volunteers to run events; co-ordinate the calendar of events; provide assistance and support to event chairpersons.
3. Membership Coordinator: The Membership Coordinator shall receive incoming applications for membership; disburse updated membership information to the Webmaster; forward membership dues to the Treasurer; maintain the Club membership list.
4. Treasurer: The Treasurer shall receive and deposit membership dues; maintain bank accounts; handle all Club payables and disbursements; prepare and deliver financial statements.
5. Newsletter Editor: The Newsletter Editor shall receive and edit all article submissions; prepare, layout and distribute newsletters; post the calendar of events and membership list.
6. Webmaster: The Webmaster shall maintain the Club website; freshen the information contained therein as necessary; update and post the event calendar and classifieds; prepare and send bulk emails and event reminders as required.
Section 3. If an office becomes vacant between General Meetings, the President will appoint a new officer to fill the unexpired term until the next General Meeting.
Section 4. Officers will be elected by a majority vote, either by a mail-in ballot, ballots collected at an announced General Meeting, or by a show of hands if only one candidate is running for an office. The term of office shall run from one General Meeting to the next. There shall be no restrictions on officers succeeding themselves in office, provided they are duly elected in accordance with the aforementioned election procedure.
Article IV - ACTIVITIES

Section 1. Events will be planned and run on a volunteer basis. Each and every member (or several members for a single event) is encouraged to hold the position of event chairperson on a rotating basis.

Each event chairperson will be directly responsible for his or her particular planned activity or event from start to finish. Preliminary description of the event and any other needed information shall be provided to the Events Coordinator in advance of the event, who will provide this information to the Webmaster for communication to the membership. Communication of the event by the Webmaster will constitute Club sponsorship of the event.

Section 2. Volunteer chairpersons of Club sponsored events shall be entitled to reasonable reimbursement of event expenses. Reimbursement limits shall be set by the Club officers on an event by event basis.

Article V - PUBLICITY AND PUBLIC RELATIONS

Section 1. News releases and public events shall be done with the approval of the President.

Article VI - DUES

Section 1. Dues shall be established by the officers of the Club and assessed per household per calendar year, being payable on the first of each calendar year. Prior members who have not renewed their membership by the end of January each year shall be dropped from membership. Dues shall be pro-rated for new members on the basis of the number of months remaining in the year.

Article VII - AMENDMENTS

Section 1. Club by-laws may be amended by a majority vote of the members in attendance at a General Meeting that is announced in advance, or by a mail-in ballot.

Article VIII - EFFECTIVE DATE

Section 1. The effective date of these restated by-laws shall be July 23, 2005, and will be turned over by the presiding officers upon approval of a majority of the Club membership attending the General Meeting on that date.
